Standard Terms of Sale for Manufacturing Services

1. General Provisions

These Terms and Conditions ("Agreement") govern the sale of goods and provision of manufacturing services by Kingwin Paper ("Seller", "we", "us") to the business entity purchasing such goods ("Buyer", "you").

By placing an order with Kingwin Paper , you acknowledge that you are purchasing for business purposes and accept these terms in full. These terms supersede any prior agreements or terms provided by the Buyer unless explicitly agreed to in writing by an authorized representative of Kingwin.

2. Products & Services

We specialize in the design and manufacture of:

  • Cardboard Displays (POP/POS displays, floor stands, counter units)
  • Packaging Solutions (Gift boxes, shipping cartons)
  • Paper Plates and related paper products

All products are manufactured according to the specifications agreed upon in the Sales Order or Proforma Invoice.

3. Orders & Customization

3.1 Custom Design Process

As a factory providing custom solutions, all designs, structural engineering, and artwork must be approved by the Buyer before mass production. We will provide digital proofs or physical samples for approval.

3.2 Approval

Buyer is responsible for verifying all details in the proofs, including dimensions, spelling, and colors. Once a proof is approved, Kingwin Paper is not liable for errors present in the approved proof.

3.3 Minimum Order Quantity (MOQ)

Orders are subject to Minimum Order Quantities as specified in our quotation. Variations in quantity of +/- 5% due to manufacturing processes shall be considered acceptable fulfillment of the order.

4. Price & Payment

Prices are quoted in USD unless otherwise stated. Quotes are valid for 30 days due to fluctuating raw material costs (paper pulp, corrugated board).

  • Payment Terms: standard terms are 30% deposit upon order confirmation and 70% balance before shipment, unless otherwise agreed in writing.
  • Taxes: Prices exclude VAT, sales tax, customs duties, and import levies, which are the responsibility of the Buyer.

5. Production & Delivery

5.1 Lead Times

Estimated production lead times commence only after the deposit is received and final artwork/sample approval is granted. We strive to meet all delivery dates but are not liable for delays caused by force majeure or carrier delays.

5.2 Shipping Terms

Unless otherwise specified, terms are FOB (Free on Board) from our factory port. Risk of loss passes to the Buyer upon delivery to the carrier.

6. Quality & Returns

We warrant that our products will be free from material defects in workmanship and materials at the time of delivery.

  • Inspection: Buyer must inspect goods within 7 business days of receipt.
  • Claims: Any claims for defects must be made in writing within this period, accompanied by photos or samples.
  • Remedy: Our liability is limited to the repair or replacement of defective goods or a refund of the purchase price, at our discretion.

7. Intellectual Property

Buyer warrants that they hold the necessary rights to all artwork, logos, and trademarks provided to us for printing. Buyer agrees to indemnify Kingwin Paper against any claims of intellectual property infringement arising from the use of materials provided by the Buyer.

Structural designs created by Kingwin Paper remain our intellectual property unless a separate design transfer agreement is signed.

8. Limitation of Liability

In no event shall Kingwin Paper be liable for any indirect, incidental, special, or consequential damages, including lost profits, arising out of or in connection with the products or services provided.
