Standard Terms of Sale for Manufacturing Services
These Terms and Conditions ("Agreement") govern the sale of goods and provision of manufacturing services by Kingwin Paper ("Seller", "we", "us") to the business entity purchasing such goods ("Buyer", "you").
By placing an order with Kingwin Paper , you acknowledge that you are purchasing for business purposes and accept these terms in full. These terms supersede any prior agreements or terms provided by the Buyer unless explicitly agreed to in writing by an authorized representative of Kingwin.

All products are manufactured according to the specifications agreed upon in the Sales Order or Proforma Invoice.
As a factory providing custom solutions, all designs, structural engineering, and artwork must be approved by the Buyer before mass production. We will provide digital proofs or physical samples for approval.
Buyer is responsible for verifying all details in the proofs, including dimensions, spelling, and colors. Once a proof is approved, Kingwin Paper is not liable for errors present in the approved proof.
Orders are subject to Minimum Order Quantities as specified in our quotation. Variations in quantity of +/- 5% due to manufacturing processes shall be considered acceptable fulfillment of the order.
Prices are quoted in USD unless otherwise stated. Quotes are valid for 30 days due to fluctuating raw material costs (paper pulp, corrugated board).
Estimated production lead times commence only after the deposit is received and final artwork/sample approval is granted. We strive to meet all delivery dates but are not liable for delays caused by force majeure or carrier delays.
Unless otherwise specified, terms are FOB (Free on Board) from our factory port. Risk of loss passes to the Buyer upon delivery to the carrier.
We warrant that our products will be free from material defects in workmanship and materials at the time of delivery.
Buyer warrants that they hold the necessary rights to all artwork, logos, and trademarks provided to us for printing. Buyer agrees to indemnify Kingwin Paper against any claims of intellectual property infringement arising from the use of materials provided by the Buyer.
Structural designs created by Kingwin Paper remain our intellectual property unless a separate design transfer agreement is signed.
In no event shall Kingwin Paper be liable for any indirect, incidental, special, or consequential damages, including lost profits, arising out of or in connection with the products or services provided.
